Wizard’s Workshop Seller Agreement
Operator: World Wizard LLC (“World Wizard”)
Contact: [LEGAL CONTACT EMAIL / MAILING ADDRESS TO CONFIRM]
1. Acceptance and Scope
This Seller Agreement supplements the World Wizard Terms of Service and applies when a World Wizard account holder enrolls to sell digital artwork or other approved assets in Wizard’s Workshop (“Workshop”). By affirmatively accepting this Agreement during seller onboarding, you agree to its terms. In case of conflict regarding selling activity, this Agreement controls over general Terms of Service to the extent permitted by law. Linked policies should be specifically identified and presented at acceptance.
2. Eligibility and Verification
You must be at least 18, have legal capacity, maintain an account in good standing, and complete required Stripe Connect identity, tax, and payment onboarding. You must provide truthful and current information. World Wizard may require additional verification and may decline or suspend seller privileges in compliance with applicable law.
3. Ownership and Originality
You represent and warrant that you created each submitted work or possess sufficient documented rights to list, sell, and license it on the terms offered. You must have appropriate rights from collaborators, employers, contractors, and other rights holders. Do not upload stolen work, unauthorized copies, infringing characters, logos, franchise-specific imagery, fan art, or content that violates another person’s rights. Generic fantasy concepts are not automatically licensed by any tabletop gaming license; your work must be independently lawful.
4. Human-Created Art Requirement
Workshop artwork offered under the human-created/no-AI rule must not be generated or materially created using generative AI. You may not falsely describe AI-generated content as human-made. [OPEN FOR ATTORNEY/PRODUCT REVIEW: define permissible non-generative editing tools, AI-assisted workflows, and evidence standards.] World Wizard may request reasonable evidence of authorship.
5. Review and Listing Rules
All listings require approval before sale. World Wizard may reject, suspend, delist, or remove listings for policy, safety, legal, quality, or operational reasons, subject to applicable law. Review is a screening process, not certification of copyright ownership or legality. The original asset file is fixed once approved and published. Sellers may edit listing title, description, tags, and price, subject to review where required. A changed file must be submitted as a new listing and approved again.
6. Prices and Availability
Sellers set prices from US$0.50 through US$1,000.00 per asset, subject to applicable law and any clearly disclosed platform limits. Price changes affect future purchases only. Sellers may withdraw a listing from future sale. Previously completed purchases and licenses survive withdrawal, account closure, and seller removal, subject to legal takedowns and the limits described in the Buyer License.
7. Licenses to Buyers
For each completed sale, the seller grants the buyer a nonexclusive, worldwide, nontransferable license for personal, noncommercial tabletop campaigns and related personal enjoyment, including use in World Wizard, downloading, personal modifications, and sharing with the buyer’s play group for campaign participation. Buyers may not resell, sublicense, distribute as standalone assets, publicly offer downloads, or commercially exploit original or modified files. The seller retains copyright and may license the same work to other buyers and on other platforms. [REVIEW: define precise boundaries of sharing and redistribution.]
8. License to World Wizard
You grant World Wizard a nonexclusive, worldwide, royalty-free license, for as long as reasonably necessary, to host, reproduce, process, display, preview, market, deliver, back up, and make the submitted asset available to buyers in connection with operating the Workshop; to retain and deliver copies for buyers who purchased before delisting; and to preserve records and evidence for legal compliance and disputes. This does not transfer copyright ownership. [ATTORNEY REVIEW: survival, sublicensing to infrastructure providers, and termination scope.]
9. Payments, Fees, and Payouts
Checkout is processed on World Wizard’s Stripe platform account using Stripe Connect destination charges. When payment succeeds, Stripe automatically transfers the artist’s designated share into the connected account balance. The currently configured seven-day period concerns payout from the connected Stripe balance to the seller’s bank; it is not a seven-day delay in the transfer to Stripe. Actual payout timing may depend on Stripe rules, verification, holidays, holds, disputes, or account status. Sellers authorize applicable processing fees plus a separately disclosed small World Wizard platform/storage fee; the exact amounts and calculation must be displayed before seller acceptance or listing. World Wizard may implement disclosed sales limits, holds, or reviews where lawful and supported by its payment architecture. World Wizard does not promise guaranteed payout dates.
10. Refunds and Chargebacks
World Wizard offers buyers a 30-day no-questions-asked refund policy, subject to the published Refund Policy and lawful anti-abuse safeguards. As a business policy, World Wizard intends to bear ordinary goodwill refunds without automatically deducting them from the artist’s proceeds. World Wizard may investigate and seek recovery from sellers for losses arising from fraud, knowing misrepresentation, copyright infringement, unauthorized AI-generated artwork, or other material breaches, subject to applicable law and the actual Stripe payment/transfer configuration. Bank disputes and chargebacks can occur after seven days or thirty days. World Wizard may pause sales or seek evidence in response. [REQUIRES TECHNICAL VALIDATION: refund and transfer-reversal behavior; who bears dispute fees and connected-account negative balances.]
11. Taxes
Sellers are generally responsible for their own income taxes and truthful tax information. Applicable transaction taxes may be calculated and collected based on buyer location, product classification, registrations, and applicable law. Stripe automatic_tax does not itself register, file, or remit taxes. [BLOCKER: verify World Wizard’s and sellers’ sales tax/VAT/GST obligations, merchant-of-record treatment, tax registrations, and filing/remittance processes before finalizing this clause.]
12. Enforcement and Complaints
World Wizard may immediately suspend listings or selling privileges when it reasonably suspects fraud, infringement, misrepresentation, or serious policy violations, pending investigation. It may preserve relevant evidence, seek proof of rights, notify affected parties, restore listings, impose restrictions, or terminate accounts case by case, including permanent bans. World Wizard will operate a copyright notice and counter-notice procedure consistent with applicable law. Sellers must cooperate in good faith.
13. Warranties, Indemnification, and Liability
Sellers warrant that their submissions and conduct comply with this Agreement and applicable law. [ATTORNEY TO DRAFT/REVIEW: proportionate seller indemnity for third-party claims and misconduct; platform warranty disclaimers; limitations of liability; carveouts that cannot legally be waived; applicable consumer and state laws.]
14. World Wizard Studio
World Wizard LLC may operate World Wizard Studio as a seller in the same marketplace and may sell artwork for which it holds adequate redistribution and licensing rights. The relationship will be disclosed. World Wizard Studio is not represented as a separate legal entity unless one is actually formed. [REVIEW: treatment of preferential placement and conflicts.]
15. Changes, Governing Law, and Disputes
Material changes will be communicated and accepted where required. [ATTORNEY TO COMPLETE: notice method, governing law, forum, arbitration/class action provisions if desired, severability, electronic notices, and how this Agreement interacts with the general Terms of Service.]
